DimSum Takeoff End User License Agreement (EULA)
In plain words. You’re licensing DimSum, not buying it. Each Seat is one named person on up to 2 computers. DimSum checks your license now and then and works offline for 30 days. It updates itself, and critical fixes must go in within 3 days. If your trial or free period ends or your subscription lapses, DimSum goes read-only: nothing is deleted, and you can still open, print and export. Don’t reverse engineer it or get around the license. Most importantly: DimSum is a tool. It calculates from what you draw and the tools and prices you choose. You must check every quantity and price before you bid, order or build. We aren’t responsible for a bid or an order based on numbers you didn’t check. This summary isn’t part of the agreement; the numbered sections are.
IMPORTANT: READ THIS AGREEMENT BEFORE YOU CLICK “I ACCEPT”. BY CLICKING “I ACCEPT”, OR BY INSTALLING OR USING THE SOFTWARE, YOU AGREE TO IT. IF YOU DON’T AGREE, CLICK “DECLINE” AND DON’T USE THE SOFTWARE. SECTION 9 (ESTIMATES ARE YOUR RESPONSIBILITY), SECTION 13 (WARRANTY DISCLAIMER) AND SECTION 14 (LIMITATION OF LIABILITY) LIMIT OUR RESPONSIBILITY TO YOU.
1. The parties and how this agreement fits
1.1 Parties. This agreement is between you and Planbase Estimating LLC, a Missouri limited liability company of Kansas City, Missouri, USA (“Planbase”, “we”, “us”). “You” means the company or person whose Workspace holds the License; the person who clicks “I Accept” also agrees for themselves as a User. If you accept for a company, you confirm you’re authorized to bind it.
1.2 The other documents. This EULA is part of the agreement made up by the Planbase Terms of Service (the “Terms”). The Terms cover your Account, Workspace, billing, content, disputes and other general terms; the Subscription and Refund Policy covers payment; the Privacy Policy explains how we handle personal data. Where this EULA and the Terms conflict about the Software, this EULA wins.
1.3 Recorded acceptance. DimSum shows this EULA before the first sign-in on each computer, and again whenever a new version ships. It records the version you accepted and the time, on the computer and with Planbase.
2. Definitions
Words defined in the Terms (section 1) have the same meaning here. In particular:
- “Software”: the DimSum Takeoff desktop application for Microsoft Windows, its Updates, any viewer we provide, and their Documentation, including our default libraries, templates and formulas.
- “Seat”: the right for one named User to use the Software.
- “Machine”: one computer on which a Seat is activated.
- “License File”: the signed file the Software keeps on a Machine to prove the License while offline.
- “Output”: quantities, measurements, counts, lengths, areas, member lists, prices, totals, reports, proposals, marked-up plans, 3D view files and any other result the Software produces.
- “Update” and “Critical Update”: as defined in the Terms.
- “Read-Only Mode”: the state described in section 7.
3. The license
3.1 Grant. Subject to this EULA and the Terms, and while your Workspace has an active Subscription, Trial, Free Period or Complimentary License, Planbase grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software in object-code form, for your internal business purposes, for the number of Seats your Workspace holds.
3.2 Licensed, not sold. The Software is licensed, not sold. Planbase and its licensors keep all rights, title and interest in it and in every copy, including the default libraries, templates, tools and formulas. Every right not expressly granted is reserved.
3.3 Seats. Each Seat is for one named User. A User may not let anyone else use their Seat, Account, device token or License File. A Workspace Admin may reassign a Seat to a different person, but not to share one Seat among several people.
3.4 Two Machines per Seat. A Seat may be active on 2 Machines at once. To use a third computer, deactivate one of the others first, in Settings → Account & License or in the Portal. Reinstalling the Software on the same computer doesn’t use another Machine.
3.5 Signed in to use. The Software needs you to be signed in to your Planbase Account. You sign in through your web browser; the Software never sees your password.
3.6 One edition. Every feature of the Software is included in every Subscription. DimSum Cloud adds online services under separate terms; it doesn’t unlock features of the Software.
3.7 Machine fingerprint. To count Machines, the Software makes a fingerprint of the computer: a one-way hash of the identifier Windows gives the computer. Only the hash leaves the computer. A new installation of Windows counts as a new Machine.
4. The trial and the free launch offer
4.1 What it is. A new Workspace that doesn’t get the Free Launch Offer (section 4.5) may use the Software free for 14 days with every feature, without payment details, to evaluate it.
4.2 Trial marks. Everything printed or exported as PDF during a Trial carries a small “DimSum Trial” mark on every page, and every CSV export starts with a “DimSum Trial” row. Don’t remove, hide or alter the marks, except by deleting the CSV row from your own copy.
4.3 When it ends. When the Trial ends, the Software enters Read-Only Mode (section 7) until you buy a Subscription. Nothing you made is deleted. Buying doesn’t remove the mark from exports already made.
4.4 Trials are as is. The Trial is provided free and “as is”. Section 14.3 sets a lower liability cap for it.
4.5 The Free Launch Offer. For a limited time, a new Workspace may get the Free Launch Offer described in Terms section 5.4: the Software with every feature, free for a Free Period, without payment details and without trial marks, plus a free Bonus Seat. The sign-up deadline and the end of the Free Period are as stated on the offer page and at sign-up; today’s offer is free until January 1, 2027 for Workspaces created by December 31, 2026 (US Central time). The Portal and the Software show your Free Period’s end date.
4.6 When the Free Period ends. Unless the Workspace has a Subscription by then, the Software enters Read-Only Mode (section 7) until you buy one, and exports carry the “DimSum — license expired” mark. Nothing you made is deleted. The Free Period is provided free and “as is”, and section 14.3 applies to it.
5. Checking in and the offline grace
5.1 Check-ins. The Software checks your License with Planbase’s servers when it opens, about every 4 hours while it runs, when your connection returns, and when you press Check now. Each check-in renews the License File.
5.2 30 days offline. The License File is good for 30 days from the last successful check-in. Inside that time the Software works fully offline. After it, the Software enters Read-Only Mode until it checks in again.
5.3 Our outages. If our servers don’t answer, the Software treats it as offline and keeps working on its License File. Only a clear answer from our servers (for example that a Subscription has lapsed or a Machine was deactivated) changes what the Software allows.
5.4 The clock. The Software keeps track of the latest time it has seen. If the computer’s clock is set back by more than 24 hours, the Software asks to connect before you can keep editing. Don’t change the clock, or the License File, to extend the License.
5.5 Offline activation. For a computer that can’t connect, we may issue an offline License File for a period we choose. It’s bound to that computer.
5.6 Remote sign-out. If a Machine is deactivated in the Portal, or a User’s Seat is removed, the Software on that Machine signs out at its next check-in. A job that’s open stays open read-only until it’s closed.
6. Updates
6.1 Automatic updates. The Software updates itself automatically. You consent to this. It checks for Updates, downloads them in the background, and installs them when you restart or close DimSum, never in the middle of a job. Updates may add, change or remove features. This EULA applies to every Update unless the Update comes with a new version of it.
6.2 Channels. You choose the Stable or Beta channel in Settings → About / Updates. A Workspace or Planbase may set the channel for a Machine, User or Workspace, and that setting wins. Beta versions are pre-release software under the Beta and Tester Agreement.
6.3 Critical Updates are required. A Critical Update must be installed within 3 days of the first time the Software offers it on that computer. Until then, DimSum shows a countdown. After that, it asks to restart, and at the next start it installs the Critical Update before it opens. Critical Updates can’t be held, on any plan.
6.4 Updates and your License. An active License gets every Update. In Read-Only Mode after a Trial or Free Period ends or a Subscription lapses, the Software receives Critical Updates only. A locked Workspace (Terms section 12) receives no Updates.
6.5 Support by version. We decide each version’s support when it ships, and may phase out a version with a serious flaw. A phased-out version is treated like a Critical Update: the Software moves to a fixed version. See the Service Level and Support Policy.
6.6 Holding updates. Holding Updates for a whole Workspace (other than Critical Updates) is available only on an Enterprise plan (for companies with 25 or more Seats, by application) under a separate agreement.
7. Read-Only Mode, and your data
7.1 When it applies. The Software enters Read-Only Mode when a Trial or Free Period ends, a Subscription lapses or is cancelled and its paid period ends, the 30-day offline grace runs out, the computer’s clock looks wrong, or the Workspace is locked.
7.2 What still works. In Read-Only Mode, nothing is deleted or changed. You can open jobs to look at them, and print and export reports, PDFs, CSVs and marked-up plans. You can’t edit, create, import or save. Exports carry “DimSum Trial” after a Trial, or “DimSum — license expired” after a paid Subscription lapses or a Free Period ends; there’s no mark when a paid License is read-only only because you’ve been offline over 30 days. Renew, or connect, and everything carries on where you left it.
7.3 Your files. You own your files and content. The Software stores job files on your computer. DimSum files are encrypted so other programs can’t open them, and once account binding is available (Terms section 7.5), they’ll open only for their owner and the Accounts or Workspaces they’re shared with. Keep your own backups.
7.4 Download all my data. Before your Account is closed, a Workspace Admin can get every file you own, unlocked, so it can still be viewed read-only, with Download all my data, which we send on request to support@planbaseestimating.com (Terms section 7.8). Files others shared with you stay theirs. The latest version of DimSum opens unlocked files read-only without a License, and the download stays available for 90 days after closure.
7.5 Survival of your access. Your right to open, view, print and export your own files in Read-Only Mode, and to get your data out under section 7.4, continues after this EULA ends.
8. What you may not do
Except to the extent the law, or the license of an open-source component (for example the LGPL that covers FFmpeg; see section 10.2), allows it despite this restriction, you may not, and may not let anyone else:
- reverse engineer, decompile, disassemble or decrypt the Software, or try to derive its source code, algorithms, file formats or encryption keys;
- break, bypass, disable or interfere with license checks, the License File, the clock guard, the Trial and its marks, the Free Launch Offer’s one-per-company rule, Seat or Machine limits, account-bound file protection, update enforcement or any other technical limit;
- open, decrypt, convert or extract DimSum files outside the Software, except files unlocked by Download all my data or by an export we provide;
- access features reserved for Planbase support (for example the area behind a support access code) without our permission;
- copy, modify, translate or make derivative works of the Software, except for one backup copy of the installer;
- rent, lease, lend, sell, resell, sublicense, distribute, host or provide the Software as a service, or share a Seat, Account, device token or License File;
- remove, alter or hide any copyright, trademark, trial mark or other notice;
- use the Software to build, train or benchmark a competing product, or publish benchmark results without our written permission;
- use the Software in breach of the Acceptable Use Policy, export laws or any other law.
Where the law lets you reverse engineer for interoperability, you must first ask us in writing at legal@planbaseestimating.com for the information you need, which we may provide on reasonable terms.
9. Estimates are your responsibility
PLEASE READ THIS SECTION CAREFULLY. IT IS ESSENTIAL TO THE LICENSE AND TO THE PRICE.
9.1 DimSum is a tool, not an estimator. The Software helps you measure plans and calculate quantities and prices. Its Output depends entirely on what you give it: the plans and their quality, the scale and calibration you set, what you trace, click and count, the tools, assemblies, formulas, waste factors, rounding and units you choose, and the prices, labor rates and taxes you enter or accept. The Software doesn’t read plans for you, doesn’t know whether plans are current, complete, correct or to scale, and doesn’t know site conditions, building codes, local practice or supplier quantities.
9.2 You must verify everything. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, CHECKING AND VERIFYING ALL OUTPUT BEFORE YOU USE OR RELY ON IT, INCLUDING EVERY QUANTITY, MEASUREMENT, SCALE, COUNT, LENGTH, AREA, MEMBER SIZE AND SPACING, PRICE, LABOR FIGURE, TAX AND TOTAL, AND FOR ANY BID, PROPOSAL, CONTRACT, PURCHASE ORDER, MATERIAL ORDER, SCHEDULE OR CONSTRUCTION DECISION BASED ON IT. Use your own professional judgment, and independent checks appropriate to the job.
9.3 Defaults are starting points. Default libraries, starter templates, sample tools, sample prices, generated layouts (for example joists, rafters, studs, beams and headers) and suggested values are examples to start from. They aren’t recommendations, aren’t tailored to your job or region, and may be out of date. Prices change; check them with your suppliers.
9.4 Not professional advice or design. The Software and its Output aren’t engineering, architectural, structural, code-compliance, legal, accounting or other professional advice, design or certification. Framing members the Software lays out are quantities for estimating, not a structural design, and must not be used to decide sizes, spans, loads, connections or code compliance. Those decisions belong to qualified professionals and the approved construction documents.
9.5 Errors happen. Software can contain errors, including errors that affect quantities. When we learn of one, we aim to fix it in a Critical Update and describe it in the release notes. When we tell you of an error that may affect quantities, re-check the affected jobs. We have no duty to recalculate or review your jobs, and fixing an error doesn’t make us responsible for decisions made before the fix.
9.6 What this means for liability. TO THE FULLEST EXTENT PERMITTED BY LAW, PLANBASE IS NOT LIABLE FOR ANY LOSS ARISING FROM YOUR USE OF OR RELIANCE ON OUTPUT, INCLUDING LOST, MISPRICED OR UNPROFITABLE BIDS, CONTRACT DISPUTES, COST OVERRUNS, MATERIAL OVER- OR UNDER-ORDERS, WASTE, DELAY, REWORK OR CLAIMS BY YOUR CLIENTS, CONTRACTORS, SUPPLIERS OR OTHERS. You’ll indemnify Planbase against third-party claims arising from your use of Output, as set out in the Terms (section 16.1).
9.7 Your clients. You are responsible for what you tell your clients. Don’t present Output to anyone as verified, guaranteed or prepared by Planbase.
10. Third-party and open-source components
10.1 Open source. The Software includes third-party and open-source components (for example Electron, Chromium, PDFium and electron-updater). Each is licensed under its own license, listed with its notices in the THIRD-PARTY-NOTICES file installed with the Software (in its install folder) and published on our website, and shown in Settings → About / Updates → Open-source licences when available.
10.2 Which terms win. Where an open-source license gives you rights this EULA doesn’t, or requires terms this EULA would contradict, that license governs that component. Nothing in this EULA restricts rights an open-source license grants for its component. Where an open-source license requires us to offer source code, the notices say how to get it.
10.3 Third-party services. The Software connects to online services we use (listed in Subprocessors) for sign-in, licensing, updates and, when available, DimSum Cloud. Those services are governed by the Terms.
11. What the Software sends
11.1 To work. The Software sends what it needs to work: your sign-in, and at each activation and check-in this computer’s Machine identifier and fingerprint hash, the computer’s name, the operating system, the DimSum version and update channel, and the EULA version you accepted. Update checks send the version, channel and License File. The Software doesn’t send your jobs, file names, quantities or what you do in them as part of these checks.
11.2 Diagnostics you choose to send. When you choose to send a diagnostic bundle (for example through Help → Report a bug… or Help → Send a crash report…), it includes logs and the note and email you give, and includes a job file only if you tick that box. Bundles are stored securely and used only to support you and fix problems.
11.3 Crash reports and usage telemetry. The Software doesn’t send automatic crash reports or usage telemetry today; a crash report is sent only when you choose to send it. If we add them, they’ll be off unless you turn them on in Settings, and they won’t include plan content or project data.
11.4 Privacy. Details, including how long we keep data, are in the Privacy Policy and Data Retention and Deletion.
12. Term and termination
12.1 Term. This EULA lasts while your Workspace has a License (including a Trial, a Free Period, a Subscription in its paid period or after it lapses into Read-Only Mode, or a Complimentary License), until your Account or Workspace is closed.
12.2 Termination for breach. We may suspend or end your License if you materially breach this EULA and don’t cure the breach within 30 days of notice, or at once for a breach that can’t be cured or for an attempt to circumvent licensing.
12.3 What happens. When the License ends, stop using the Software, except for the read-only access in section 7.5. Sections 2, 3.2, 7.5, 8, 9, 10.2, 12.3, 13, 14 and 15 survive.
13. Warranty disclaimer
THE SOFTWARE, THE OUTPUT, ANY TRIAL OR BETA VERSION, AND THE DOCUMENTATION ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS, AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, PLANBASE AND ITS LICENSORS AND SUPPLIERS DISCLAIM ALL WARRANTIES, CONDITIONS AND REPRESENTATIONS, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY, AND ANY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. PLANBASE DOES NOT WARRANT THAT THE SOFTWARE OR OUTPUT WILL BE ACCURATE, COMPLETE OR ERROR-FREE, THAT THE SOFTWARE WILL RUN WITHOUT INTERRUPTION OR ON ANY PARTICULAR COMPUTER, THAT DEFECTS WILL BE CORRECTED, OR THAT DATA WILL NOT BE LOST. Where the law doesn’t allow a disclaimer, it applies to the fullest extent allowed, and any implied warranty that can’t be disclaimed is limited to 30 days.
14. Limitation of liability
14.1 No indirect damages. TO THE FULLEST EXTENT PERMITTED BY LAW, PLANBASE AND ITS LICENSORS AND SUPPLIERS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST OR MISPRICED BIDS, LOST CONTRACTS, COST OVERRUNS, MATERIAL OVER- OR UNDER-ORDERS, DELAY, REWORK, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR LOSS OR CORRUPTION OF DATA, ARISING OUT OF OR RELATING TO THE SOFTWARE OR THE OUTPUT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THEIR POSSIBILITY.
14.2 Cap. TO THE FULLEST EXTENT PERMITTED BY LAW, PLANBASE’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS EULA AND THE SOFTWARE, FOR ALL CLAIMS TOGETHER, WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE FIRST EVENT GIVING RISE TO LIABILITY, AND (B) US$100.
14.3 Free use. FOR A TRIAL, A FREE PERIOD, A COMPLIMENTARY LICENSE OR A BETA VERSION, PLANBASE’S TOTAL LIABILITY IS US$100.
14.4 One cap. These limits are the same limits as in the Terms (section 15), not in addition to them, and are subject to the exclusions there. They apply even if a limited remedy fails of its essential purpose.
15. General
15.1 Governing law and disputes. This EULA is governed by the laws of the State of Missouri, and disputes are resolved as set out in the Terms (section 17), with venue in Jackson County, Missouri.
15.2 Export control. You’ll comply with US export control and sanctions laws as set out in the Terms (section 20). The Software uses encryption.
15.3 US government users. The Software is “commercial computer software” and its Documentation “commercial computer software documentation”, licensed to US government end users only with the rights in this EULA, as set out in the Terms (section 21).
15.4 Transfer. You may not assign or transfer this EULA or the License without our written permission. We may assign it as the Terms allow.
15.5 Severability, waiver and entire agreement. If part of this EULA can’t be enforced, the rest still applies. Not enforcing a term isn’t a waiver of it. This EULA and the Terms are the entire agreement about the Software.
15.6 Changes. When we change this EULA, the Software shows the new version and asks you to accept it before you continue. If you don’t accept, you can’t keep using the Software, but you can still get your data out as described in section 7.4.
