DimSum Beta and Tester Agreement
In plain words. Testers get DimSum free (a Complimentary License) and early versions on the Beta channel. Beta versions are unfinished: they may have bugs, including wrong quantities, and may change or disappear. Keep what you see private until we make it public, back up your work, and check every number before you rely on it. If you send us ideas or bug reports, we can use them freely. You can stop testing whenever you like, and we can end your tester access with notice; either way, nothing you made is deleted. This summary isn’t part of the agreement; the numbered sections are.
1. How this agreement fits
1.1 Who it covers. This Beta and Tester Agreement (“Beta Agreement”) applies to: (a) anyone we give a tester’s Complimentary License (“Tester”); and (b) anyone who uses the Beta Channel or other Beta Features, whether or not they’re a Tester.
1.2 With the other terms. It adds to the Planbase Terms of Service (the “Terms”) and the EULA, which still apply. Where this Beta Agreement conflicts with them about Beta Features or a Tester’s Complimentary License, this Beta Agreement wins.
1.3 Accepting. You accept this Beta Agreement by accepting a tester invitation, by choosing the Beta Channel, or by using Beta Features. If you accept for a company, you confirm you may bind it.
2. Definitions
Capitalized words not defined here have the meanings in Terms section 1.
- “Beta Channel”: the update channel for pre-release versions, chosen in Settings → About / Updates or set for you by us.
- “Beta Features”: pre-release versions of the Software on the Beta Channel, and any feature, service or document we call beta, preview, early access, experimental or similar, including test builds we send directly.
- “Confidential Beta Information”: non-public information about the Services that we give you or that you see as a Tester or Beta user, including unreleased features, builds, screenshots, release notes, documentation, roadmaps, prices and plans, and the fact and content of discussions with us about them. It doesn’t include information that: is or becomes public without your breach; you knew without a duty of confidence before we gave it to you; you receive lawfully from someone else without a duty of confidence; or you develop independently without using it.
- “Tester License”: a Complimentary License given to a Tester.
3. The Tester License
3.1 What you get. A Tester License gives every feature of the Software, without Fees, for the Seats we state, under the EULA. It doesn’t include DimSum Cloud unless we say so in writing.
3.2 Real work. You may use the Software under a Tester License for your real business work, at your own risk and subject to section 5.
3.3 Not transferable. A Tester License is personal to the Tester (or the company we gave it to). It can’t be sold, transferred or shared.
3.4 No payment either way. Testing is voluntary. You aren’t paid for testing, aren’t our employee or agent, and aren’t owed anything for your time, Feedback or results.
4. Pre-release software
4.1 What to expect. Beta Features are early. They may be incomplete, contain errors (including errors that affect quantities and prices), lose or corrupt data, stop working, perform worse than released versions, or change or be removed without notice. They may not become generally available, and if they do, they may be different.
4.2 Unsigned builds. Some builds, including Beta builds, may not yet be code-signed, so Windows may show a warning when you first install them. Install only builds you get from DimSum’s own updater or from us directly.
4.3 Job files. A job saved in a newer version may open only read-only in an older one. Moving between the Beta and Stable channels may leave you on a newer version than Stable until Stable catches up.
4.4 Back up. Keep backups of your jobs, tool libraries and settings before installing Beta Features, and as you test.
4.5 Support. Support for Beta Features is best effort, with no response targets (see the Service Level and Support Policy).
5. Estimates and Beta Features
The estimates disclaimer in EULA section 9 applies with extra force to Beta Features. Check every quantity, measurement and price produced with a Beta Feature against an independent method before you use it for a bid, order or construction decision. If you find a wrong number, please tell us at once (section 7), even if you’re not sure.
6. Confidentiality
6.1 Keep it private. Until we make it public, you’ll keep Confidential Beta Information confidential, use it only to test and give us Feedback, and not disclose it to anyone except your own employees or contractors who need it for that purpose and are bound by confidentiality duties at least as protective as these. You’re responsible for their compliance.
6.2 No public posting. Don’t publish, post, stream or share screenshots, videos, reviews, benchmarks or descriptions of Beta Features (including on social media, forums or in a client presentation) without our written permission. Email is enough: legal@planbaseestimating.com or the Planbase person you test with.
6.3 Required by law. If the law or a court requires you to disclose Confidential Beta Information, you may, after telling us promptly (where the law allows) so we can seek protection, and only to the extent required.
6.4 Duration. These duties last while you test and for 2 years after your testing ends, or, for any trade secret, for as long as it remains a trade secret.
6.5 Return. When your testing ends, or when we ask, delete Confidential Beta Information you hold other than what the Software stores in your own jobs, and stop using test builds we sent directly.
6.6 Your information. We treat your non-public business information that you share with us as a Tester as confidential under the Terms and the Privacy Policy. Don’t send us confidential information of your clients or others that you aren’t allowed to share; if you send a job file for diagnosis, make sure you may share its plans with us.
7. Feedback
7.1 What we ask. We’d like you to report bugs, wrong numbers, crashes, confusing behavior and ideas, through the in-app Feedback / Bug report button, a diagnostic bundle, or email to support@planbaseestimating.com.
7.2 Feedback license. You give us a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable and sublicensable license to use, copy, modify, create derivative works from, and commercialize Feedback, in any product or service, without restriction, attribution or payment. You confirm you have the right to give it. You aren’t required to give Feedback, and we aren’t required to use it.
7.3 Ownership. Feedback doesn’t give you any right in the Services. Improvements we make, whether or not based on Feedback, belong to Planbase.
7.4 Naming you. We won’t name you, quote you or use your logo in public (for example as a testimonial or a tester credit) without your separate permission.
8. Diagnostics and contact
8.1 Data. Beta Features may collect and send more diagnostic information than released versions, as described in their release notes and the Privacy Policy. Diagnostic bundles are sent only when you choose, and include a job file only if you tick that box.
8.2 Contact. As a Tester, we may contact you about your testing, by email or as you agree.
9. No warranty, and limited liability
9.1 As is. BETA FEATURES AND TESTER LICENSES ARE PROVIDED FREE, “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, PLANBASE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY.
9.2 Liability. TO THE FULLEST EXTENT PERMITTED BY LAW, PLANBASE’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO BETA FEATURES, A TESTER LICENSE OR THIS BETA AGREEMENT IS US$100, AND PLANBASE ISN’T LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR FOR LOST OR CORRUPTED DATA, LOST OR MISPRICED BIDS, LOST PROFITS, COST OVERRUNS OR MATERIAL OVER- OR UNDER-ORDERS. Terms section 15.3 (exclusions) still applies.
10. Ending testing
10.1 You. You may stop testing at any time: switch to the Stable channel, or tell us you no longer want a Tester License.
10.2 Us. We may end a Tester License, remove you from the Beta Channel, or end any Beta Feature at any time. We’ll give at least 30 days’ notice by email before ending a Tester License, unless you’ve breached this Beta Agreement or the Terms, or the testing program as a whole ends, in which case we’ll give whatever notice is reasonable. We may move a Machine from the Beta Channel to Stable at any time.
10.3 What happens to your work. When a Tester License ends, nothing is deleted. Your Workspace becomes read-only under the EULA unless you buy a Subscription, and you can still get your files out: with Download all my data, which we send on request to support@planbaseestimating.com (Subscription and Refund Policy section 7).
10.4 Survival. Sections 5, 6, 7, 9, 10.3 and 10.4 survive the end of testing.
